Stripe is currently in test mode. No customer can be charged under this Policy until both are complete.\n\nThis Policy explains how paid subscriptions to Audon are priced, billed, renewed and cancelled. It forms part of the agreement between your organization and **Audon Software LLC** together with the Terms of Service (document id `terms`, Section 7). If this Policy conflicts with the Terms, the Terms prevail; a signed Order Form prevails over both for the commercial terms it expressly changes.\n\n## 1. Plans and prices\n\n| Plan | Price | Billing | Notes |\n|---|---|---|---|\n| Agent Waste Audit | Free | — | One-time audit of up to 30 days of history. No payment method required. |\n| Starter | USD 299 per month, billed annually | USD 3,588 per year, in advance | Entitlements shown on the pricing page and at checkout |\n| Growth | From USD 999 per month, billed annually | From USD 11,988 per year, in advance | Final price depends on configuration shown at checkout or in an Order Form |\n| Enterprise | Custom | As stated in the Order Form | Negotiated terms |\n\nPrices are stated in **United States dollars**. A price shown in USD does not mean that any particular local tax treatment applies. Prices are configurable and may differ from this table; **the price that binds you is the one shown at checkout, or in your Order Form, at the time you authorize payment.**\n\n## 2. What you see before you pay\n\nBefore you authorize payment, the checkout page shows:\n\n- the plan and its main entitlements;\n- the price per year and its monthly equivalent;\n- any applicable tax, or a statement that tax may be added;\n- that the subscription **renews automatically each year** until cancelled, the renewal date and the renewal price;\n- how to cancel; and\n- links to the Terms of Service, this Policy and the Data Processing Addendum, with the version numbers that you are accepting.\n\nYour acceptance is recorded with the document versions, the accepting user (or Agent and authorizing user), the time and the authority statement given.\n\nA subscription starts only when our payment processor confirms a valid payment or payment mandate. Clicking a button, or an Agent creating a checkout link, does not by itself create a subscription or a charge.\n\n## 3. Payment processing\n\nPayments are processed by **Stripe**. You enter card details only on Stripe-hosted pages; Audon never receives or stores full card numbers. We store your Stripe customer and subscription identifiers, plan, subscription status and current period end. Agents connected to the Services can create checkout and billing-portal links but can never handle card data.\n\n## 4. Taxes\n\nPrices exclude taxes unless stated otherwise. Depending on your location and ours, value added tax (including UAE VAT), sales tax or similar taxes may apply and will be shown at checkout or on the invoice where we are required to charge them. Where a reverse-charge mechanism applies, the invoice will say so. If you are required to withhold tax, you must gross up the payment so that we receive the full amount invoiced, unless the parties agree otherwise in writing. [[LEGAL_REVIEW_REQUIRED: tax treatment of subscriptions (UAE VAT registration, reverse charge, US sales tax)]]\n\nWe do not display a tax registration number unless one has been issued to Audon.\n\n## 5. Invoices and receipts\n\nInvoices and receipts are issued electronically through Stripe and identify Audon Software LLC as the supplier. They are sent to the billing contact for your organization and are available in the billing portal.\n\n## 6. Annual billing and renewal\n\n**6.1 Billing in advance.** Starter and Growth subscriptions are billed annually in advance at the start of each subscription year.\n\n**6.2 Automatic renewal.** At the end of each subscription year, your subscription renews automatically for a further year at the then-current price for your plan, unless you cancel before the renewal date.\n\n**6.3 Renewal reminder.** We will email the organization owner and billing contact a renewal reminder **at least 30 days, and no more than 60 days, before each annual renewal**. The reminder states the renewal date, the amount to be charged, any price change, and how to cancel.\n\n## 7. Upgrades and downgrades\n\n- **Upgrades** take effect immediately on confirmation. You will be charged a prorated amount for the remainder of the current subscription year, which is shown before you confirm.\n- **Downgrades** take effect at the next renewal date. Until then you keep the entitlements of your current plan. If your usage exceeds the lower plan's limits after the downgrade, some features may be limited until you reduce usage or upgrade.\n\n## 8. Cancellation\n\n**8.1 How to cancel.** An organization owner or billing_admin can cancel at any time, using any of these methods:\n\n- **In the application:** Settings → Billing → Cancel subscription;\n- **Through the API:** the subscription cancellation endpoint, using credentials with the billing scope; or\n- **Through an Agent:** an Agent with the billing scope, acting for an authorized user, can request cancellation. The cancellation is recorded and attributed to the authorizing user.\n\nCancellation is as easy as sign-up: no phone call or retention conversation is required. You will receive a confirmation email.\n\n**8.2 Effect of cancellation.** Cancellation takes effect **at the end of the current paid subscription period**. You keep full access to your paid plan until then, and you will not be charged again. You may reverse a cancellation at any time before the period ends.\n\n**8.3 After the period ends.** When a paid subscription ends, your organization moves to an unpaid state. Your data is not deleted automatically by the end of a subscription; you can export it, or an owner can request deletion (14-day grace period, then permanent deletion), as described in the Terms (Section 11.6).\n\n## 9. Refunds\n\n**Proposed default (for counsel decision):** except where required by applicable law, or where expressly stated in the Terms or an Order Form, fees are **non-refundable** and we do **not** give pro-rata refunds for unused parts of a subscription period, including after cancellation. [[LEGAL_REVIEW_REQUIRED: refund policy decision (proposed default: no pro-rata refunds except where required by law)]]\n\nThe Terms provide for a refund of prepaid fees for the unused period in these cases:\n\n- we terminate the Services for our convenience or discontinue your plan;\n- you terminate because of our uncured material breach (Terms, Section 11.5);\n- you terminate because the Services do not conform to the service warranty and we cannot correct it (Terms, Section 10.1);\n- you terminate after objecting to a new subprocessor that we cannot accommodate (DPA, Section 6.3); or\n- you terminate because of a material adverse change to the Terms during a paid period (Terms, Section 13.2).\n\nIf you believe you were charged in error, contact us at [[LEGAL_REVIEW_REQUIRED: support contact email]] within 60 days of the charge and we will investigate and correct any billing error.\n\n## 10. Failed payments\n\n1. If a payment fails, Stripe may retry it automatically, and we will email the billing contact with a link to update the payment method.\n2. Your access continues while we try to collect payment for **14 days** after the first failed attempt.\n3. If payment is still outstanding after 14 days, we will give at least 7 days' further written notice before suspending paid features.\n4. Suspension for non-payment does not delete your data, and access is restored promptly once payment succeeds.\n5. If payment remains outstanding 60 days after the first failed attempt, we may cancel the subscription.\n\n## 11. Price changes\n\nWe may change the price of a plan for future subscription periods. We will give you **at least 30 days' notice** by email before a price change applies to you, and the change will take effect only at your next renewal. A price change never applies to a period you have already paid for. If you do not accept the new price, you can cancel before the renewal date. Prices agreed in an Order Form for a fixed term are not changed during that term.\n\n## 12. Trials and promotions\n\nIf we offer a free trial of a paid plan or a promotional price, the checkout page will state its length, what happens at its end, and the price that will apply afterwards. A trial never converts to a paid subscription without a valid payment method and your clear acceptance of the price and renewal terms. We will remind you before a trial converts.\n\n## 13. Disputes about charges\n\nPlease contact us before raising a chargeback, so we can resolve the issue quickly. Raising a chargeback does not affect any rights you have under the law or the card scheme rules.\n\n## 14. Contact\n\nBilling questions: [[LEGAL_REVIEW_REQUIRED: support contact email]].\n"},"meta":{"request_id":"req_01m62hpbbn0p07br9d6pmd","operation":"legal.get"}}
