Terms of Service

The agreement that governs access to and use of Audon.

Version 0.9.0-draftEffective To be confirmed: effective date set at launchDraft — pending qualified counsel review

Draft pending counsel review

Items marked “to be confirmed” are open legal or company facts. Paid subscriptions remain disabled until this document is approved.

These Terms of Service ("Terms") govern access to and use of the Audon service. Please read them carefully. By creating an account, clicking to accept, signing an Order Form, or authorizing an Agent to accept on your behalf, you agree to these Terms on behalf of the organization you represent.

1. Parties and scope

1.1 Operator. The Audon service is operated by Audon Software LLC To be confirmed: confirm legal name as shown on the Delaware certificate of formation, a Delaware limited liability company, Delaware file number To be confirmed: Delaware file number, registered address To be confirmed: registered agent address in Delaware; placeholder in use ("Audon", "we", "us" or "our").

1.2 Brand. "Audon", "Agent Loss Prevention" and "Agent Waste Audit" are product and brand names used by Audon Software LLC. They are not separate legal entities and are not registered trademarks. Your contract is with Audon Software LLC.

1.3 Customer. These Terms are entered into between Audon and the business, organization or other legal entity that registers for or uses the Services ("Customer" or "you").

1.4 Business use only. The Services are offered only to businesses and other organizations for use in the course of their trade, business, craft or profession. They are not offered to consumers. You must not use the Services for personal, family or household purposes.

1.5 Authority. The individual who accepts these Terms represents that they (a) are at least 18 years old, and (b) have authority to bind the Customer. Where an Agent accepts these Terms on the Customer's behalf, the human user who authorized that Agent makes this representation and the acceptance is recorded in accordance with Section 13.

1.6 Accounts and actions created by Agents. Any organization, account, connector, setting or other resource created by an Agent acting under a Customer's authorization belongs to and is the responsibility of that Customer. Actions taken by an Agent within its granted scopes are treated as actions of the Customer and are attributed in the activity log to the human user who authorized that Agent.

1.7 Availability by region. The Services are currently offered to Customers established in the United States, the United Kingdom and the United Arab Emirates. Availability in the Kingdom of Saudi Arabia is limited to pilot arrangements agreed in writing, and is conditional on the completion of the legal review described in those arrangements. We do not currently offer data residency in the UAE or Saudi Arabia.

2. Definitions and order of precedence

2.1 Definitions. In these Terms:

  • "Agent" or "Autonomous Agent" means a software program, including an AI-based agent, that a Customer or Authorized User connects to the Services via OAuth (including the Model Context Protocol, "MCP") or an Audon API key, in order to read data or take actions in the Services on the Customer's behalf.
  • "API" means the Audon application programming interfaces, including REST endpoints, MCP endpoints, webhooks and any associated documentation.
  • "Audit" means an analysis of Customer's AI provider spend produced by the Services, including the free Agent Waste Audit.
  • "Authorized User" means an individual whom the Customer has invited to, or permitted to use, its organization in the Services, in a role assigned by the Customer.
  • "Connector" means a read-only integration through which the Services retrieve data from a Third-Party Provider using credentials supplied by the Customer.
  • "Customer Data" means data submitted to or retrieved by the Services on behalf of the Customer, including usage and cost reports retrieved through Connectors, Telemetry submitted by the Customer, and configuration and content entered by Authorized Users. Customer Data does not include Usage Data.
  • "DPA" means the Audon Data Processing Addendum (document id dpa), which forms part of these Terms where it applies.
  • "Estimate" means a calculated or projected amount (for example, an estimated cost or projected saving) that is not a figure reported by a Third-Party Provider.
  • "Finding" means an observation produced by the Services and classified as one of: observed spend, anomalous spend, potential saving, validated opportunity or verified saving, as described in Section 3.4.
  • "Order Form" means an ordering document, online checkout page or plan selection screen that specifies the Services purchased, the fees and the Subscription Term.
  • "Services" means the Audon web application, API, MCP server, Connectors, Audits, monitoring, alerts and related services provided by Audon.
  • "Subscription Term" means the period stated in the Order Form, together with any renewal period.
  • "Telemetry" means agent run and outcome events that the Customer chooses to submit through the API, as described in Section 3.3.
  • "Third-Party Provider" means a provider of AI or other services that is independent of Audon, including OpenAI and Anthropic.
  • "Usage Data" means data about how the Services are accessed and used (such as security logs, request identifiers and aggregated service metrics) that does not identify the Customer's AI spend, workloads or end users.
  • "Verified Saving" means a reduction in spend that has been measured in Third-Party Provider billing data after a change has been made, according to the method shown in the Services for that Finding.

2.2 Documents forming the agreement. The agreement between you and us consists of: (a) any signed Order Form; (b) the DPA, where it applies; (c) these Terms, including the Acceptable Use Policy (document id aup), which is incorporated into these Terms; and (d) the Billing and Cancellation Policy (document id billing). The Privacy Policy, Cookie Policy, Security Overview, Subprocessors list and AI Data Use Policy are informational documents that describe our practices; they are referenced in, but do not themselves form, contractual terms except where expressly stated.

2.3 Order of precedence. If there is a conflict, the following order applies (highest first): (a) the DPA, with respect to the processing of personal data; (b) a signed Order Form, with respect to the commercial terms it expressly changes; (c) these Terms; (d) the Billing and Cancellation Policy; (e) the Acceptable Use Policy. Terms on a Customer purchase order or similar document do not apply, even if accepted or acknowledged.

3. Description of the Services and their limits

3.1 Free Agent Waste Audit. The Agent Waste Audit is a free, one-time analysis covering up to 30 days of historical AI provider usage and cost data available through the Connectors you configure. We may apply reasonable quotas, rate limits and account verification to prevent abuse. The free Audit is provided "as is" (see Section 10) and may be withdrawn or changed at any time.

3.2 Paid plans. Paid plans (currently "Starter", "Growth" and "Enterprise") provide ongoing monitoring of AI provider spend ("Agent Loss Prevention"), including periodic synchronization, Findings, alerts, history and other features as described in the plan entitlements shown at the time of purchase. Plan features, limits and prices are described in the Billing and Cancellation Policy and the applicable Order Form.

3.3 Read-only Connectors. Connectors use Organization Admin API keys for OpenAI and Admin API keys for the Anthropic Claude Platform that you provide. Through these Connectors we read only daily aggregated cost and token usage reports, which may be broken down by project or workspace, model, line item and API key identifier. We do not use Connectors to read prompts, model responses, files or end-user content. We do not use Connectors to change your Third-Party Provider configuration, create or revoke keys, or make purchases. Note that the provider admin keys you supply may technically allow broader actions at the provider; you are responsible for deciding whether to grant them, and we commit to using them only as described in this Section.

3.4 Telemetry. You may choose to submit redacted Telemetry through the API, limited to run identifiers, workflow identifiers, status, verification type, estimated cost, token counts, retry and tool-call counts, and up to 20 operational metadata keys. The API rejects metadata keys that indicate prompts, content, personal data or secrets. Raw prompt or response capture is not offered. You must not attempt to submit prompts, responses, personal data or secrets in Telemetry (see the Acceptable Use Policy).

3.5 Findings and Estimates. Findings are classified as follows:

Classification Meaning
Observed spend Spend reported in Third-Party Provider data.
Anomalous spend Spend that the Services' detection rules identify as unusual relative to a baseline. It is not a determination that the spend was wasteful or unauthorized.
Potential saving An Estimate of an amount that might be saved if a change were made.
Validated opportunity A potential saving that has been reviewed against additional data or by the Customer, but not yet measured after a change.
Verified saving A Verified Saving as defined in Section 2.1.

Findings and Estimates are informational. We do not guarantee any saving, cost reduction or financial outcome. A potential saving or validated opportunity may not be realized, and realizing it may involve trade-offs (for example, in quality or latency) that only you can evaluate.

3.6 Data quality and timing. The Services depend on data reported by Third-Party Providers. That data may be delayed, revised, incomplete or inaccurate, and provider reporting formats may change. Figures shown in the Services may therefore differ from your provider invoices, which remain the authoritative record of amounts you owe to the provider.

3.7 Alerts are monitoring, not enforcement. Alerts and notifications are delivered after data becomes available and is processed. They are not real-time, and the Services do not block, throttle or stop spending at your Third-Party Providers. You remain responsible for setting spending limits and controls directly with your providers.

3.8 Optimization proposals and experiments. The Services may propose changes (for example, a different model or a caching strategy). A proposal is applied only after explicit approval by an Authorized User with the required role. We never change your infrastructure or Third-Party Provider configuration. Any change you decide to make is made by you, in your own systems.

3.9 Not professional advice. The Services do not provide, and Findings are not, accounting, audit, tax, legal, investment, financial or security certification advice. An "Audit" in the Services is a software analysis of spend data and is not a financial statement audit or an assurance engagement.

3.10 Changes to the Services. We may modify the Services from time to time. We will not materially reduce the core functionality of a paid plan during a paid Subscription Term, except where required for security, legal compliance or a change made by a Third-Party Provider outside our control; in that case we will give notice where reasonably possible.

4. Customer rights and responsibilities

4.1 Access right. Subject to these Terms and payment of applicable fees, we grant the Customer a non-exclusive, non-transferable, non-sublicensable right during the Subscription Term (or, for the free Audit, for the period we make it available) to access and use the Services for its internal business purposes.

4.2 Eligibility. You must be a business or organization, and each Authorized User must be at least 18 years old. You must not use the Services if you are prohibited from receiving them under applicable sanctions or export control laws.

4.3 Credentials. You are responsible for keeping passwords, session credentials, Audon API keys and OAuth grants confidential, and for all activity under them. Notify us without undue delay at To be confirmed: support contact email if you believe a credential has been compromised. You can revoke Audon API keys and Agent connections at any time in the Services.

4.4 Administrator authority. The Customer controls its organization through users with the owner or admin role. The Customer is responsible for assigning roles (owner, admin, analyst, billing_admin, read_only), for removing users who should no longer have access, and for the actions of its Authorized Users and Agents. Removing a member revokes that member's Audon API keys and Agent access.

4.5 Permission to connect provider accounts. You represent that you have all rights and permissions required (including under the terms of your Third-Party Providers and your internal policies) to supply provider admin keys to us and to allow us to retrieve the usage and cost reports described in Section 3.3.

4.6 Approved Agents and scopes. You may connect Agents only through the mechanisms we provide. You decide which scopes to grant. You are responsible for configuring, supervising and revoking your Agents, and for the accuracy of the instructions you or your Agents give to the Services.

4.7 Acceptable conduct. You must comply with the Acceptable Use Policy. In particular, you must not attempt to access or extract data belonging to any other customer, probe for cross-tenant vulnerabilities outside our vulnerability disclosure process, or circumvent rate limits, quotas or security controls.

4.8 Customer Data. You are responsible for the lawfulness of Customer Data and for ensuring that you have provided any notices and obtained any permissions required for us to process it as described in these Terms and the DPA.

5. Automation, Agents and approvals

5.1 Agent actions are Customer actions. Requests made through the API or MCP using credentials or grants issued to the Customer are treated as authorized by the Customer, to the extent they fall within the granted scopes. We record the acting Agent, the authorizing user, the action, the channel and a request identifier in the activity log.

5.2 Scope limits. An Agent can perform only actions permitted by its granted scopes and by the role of the user who authorized it. We may reject requests outside those scopes.

5.3 Human confirmation for high-risk actions. Certain actions require a signed-in human user with the appropriate role, regardless of any Agent scope. These currently include deletion of an organization (which requires a signed-in human owner) and approval of optimization proposals (which requires explicit approval). We may add further actions to this category where we reasonably consider it necessary for safety or security.

5.4 Financial commitments by Agents. An Agent may create checkout or billing-portal links, and may cancel a subscription at the end of the current period where it has the required scope. An Agent may not enter payment card data through the Services. A paid subscription starts only when a valid payment or payment mandate is confirmed by our payment processor. Before an Agent accepts any terms with financial commitments on your behalf, the Services present the exact document version and the relevant financial obligations, and the acceptance is recorded with the authority statement given.

5.5 Idempotency and revocation. The API supports idempotency keys for operations where duplicate requests could cause unintended effects. Revoking an Agent connection or API key stops future requests made with it; it does not undo actions already completed.

5.6 Errors and reversal. Some actions can be reversed (for example, re-enabling a setting, or cancelling an organization deletion during the 14-day grace period). Others cannot (for example, permanent deletion after the grace period). The Services indicate where an action is irreversible. Nothing in this Section excludes our responsibility for failures of the Services caused by our breach of these Terms.

5.7 Oversight. You are responsible for deciding what level of human oversight is appropriate for your use of Agents, including for any decisions you make on the basis of Findings.

6. Third-Party Providers and services

6.1 Independence. OpenAI, Anthropic and other Third-Party Providers are independent of Audon. We are not affiliated with, endorsed by or acting as an agent of any of them. Your use of their services is governed by your agreements with them.

6.2 Upstream limits. The Connectors depend on Third-Party Provider APIs, which may be unavailable, rate-limited, changed, deprecated or restricted, and providers may change the permissions attached to admin keys. We are not responsible for such events, but we will use reasonable efforts to adapt the Connectors and to inform you of significant disruptions.

6.3 Other services we use. We use third-party infrastructure and service providers to operate the Services, as listed in the Subprocessors list. Their involvement does not reduce our obligations to you under these Terms or the DPA.

6.4 Non-excludable obligations. Nothing in this Section limits any obligation that cannot be limited or excluded under applicable law.

7. Free and paid Services, fees and payment

7.1 Plans and prices. Prices are stated in United States dollars and are shown before purchase. At the date of this draft, published list prices are: Starter, USD 299 per month billed annually (USD 3,588 per year); Growth, from USD 999 per month billed annually; Enterprise, custom pricing under an Order Form. Prices are configurable and the price that applies to you is the one shown at checkout or in your Order Form.

7.2 Taxes. Prices exclude taxes unless stated otherwise. Value added tax, sales tax, goods and services tax, withholding tax or similar taxes may apply and, where applicable, will be shown at checkout or on the invoice. You are responsible for taxes associated with your purchase other than taxes on our net income. To be confirmed: tax treatment of subscriptions (UAE VAT registration, reverse charge, US sales tax)

7.3 Trials. If a trial of a paid plan is offered, its duration and what happens at its end are shown before you start it. A trial will not convert to a paid subscription without a valid payment method and your clear acceptance of the price and renewal terms.

7.4 Billing cycle and renewal. Starter and Growth are billed annually in advance. Subscriptions renew automatically for successive periods equal to the initial Subscription Term unless cancelled before the end of the current period. The renewal terms, including price and date, are disclosed before you authorize payment. We will send a renewal reminder before each annual renewal as described in the Billing and Cancellation Policy.

7.5 Usage limits. Plans include the entitlements shown at purchase (for example, numbers of connected provider organizations, seats, monitoring frequency, retention and webhook endpoints). If you exceed them, we may ask you to upgrade or may limit the excess usage; we will not charge overage fees unless they are stated in your Order Form.

7.6 Upgrades and downgrades. Upgrades take effect when confirmed and may be charged on a prorated basis for the remainder of the current period, as shown before you confirm. Downgrades take effect at the start of the next renewal period.

7.7 Payment processing. Payments are processed by Stripe. Card data is entered only on Stripe-hosted pages and is not received or stored by us. We store Stripe customer and subscription identifiers, plan, status and current period end.

7.8 Failed and late payments. If a payment fails, we will notify the billing contact and our payment processor may retry the charge. If payment remains outstanding after the period stated in the Billing and Cancellation Policy, we may suspend paid features after notice. Suspension for non-payment does not by itself delete Customer Data.

7.9 Receipts and invoices. Receipts or invoices are issued electronically and identify Audon as the supplier.

7.10 Cancellation. You may cancel a subscription at any time through the billing settings in the Services, through the API, or through an Agent with the required scope. Cancellation takes effect at the end of the current paid period; you keep access until then.

7.11 Refunds. Except where required by applicable law or expressly stated in an Order Form, fees are non-refundable and we do not provide pro-rata refunds for partial periods. To be confirmed: refund policy decision (proposed default: no pro-rata refunds except where required by law)

7.12 Price changes. We may change prices for future renewal periods by giving at least 30 days' notice before the change takes effect for you. A price change does not apply to the current paid period. If you do not agree, you may cancel before renewal.

7.13 Mandatory law. Nothing in this Section limits rights you may have under mandatory law that applies to your purchase.

8. Intellectual property and licences

8.1 Our property. Audon and its licensors own all rights in the Services, including software, the API, documentation, detection methods and the design of reports. No rights are granted except as expressly stated in these Terms.

8.2 Customer Data. As between the parties, the Customer retains all rights in Customer Data. The Customer grants Audon a non-exclusive, worldwide, royalty-free licence, for the duration of the agreement and any retention period permitted by these Terms or the DPA, to host, copy, process and display Customer Data solely to provide, secure and support the Services for the Customer and as required by law.

8.3 No training or resale rights. These Terms do not grant us any right to use Customer Data to train, fine-tune or evaluate any AI model, to create datasets for third parties, or to sell or license Customer Data. Any such use would require a separate written agreement signed by the Customer that specifically describes the data, purposes and safeguards. A general setting in the Services does not constitute such an agreement. See the AI Data Use Policy.

8.4 Usage Data. We may use Usage Data to operate, secure, maintain and improve the Services, and may produce aggregated statistics that do not identify the Customer, any individual or any Customer Data.

8.5 Outputs. Reports, exports and Findings generated for the Customer from Customer Data may be used by the Customer for its internal business purposes, including after the agreement ends. Our underlying software, templates and methods remain ours.

8.6 Feedback. If you provide suggestions or feedback about the Services, you permit us to use that feedback to improve the Services without obligation to you, provided that we do not disclose your identity or your Confidential Information in doing so.

8.7 API and SDK. Use of the API, and of any SDK or sample code we make available, is subject to these Terms and any licence stated with that software. You must not use the API to build a competing service by copying our Services or to extract data in bulk beyond what you are entitled to export.

9. Confidentiality, privacy and security

9.1 Confidential Information. "Confidential Information" means non-public information disclosed by one party to the other that is marked confidential or that a reasonable person would understand to be confidential, including Customer Data and provider credentials. It does not include information that (a) is or becomes public without breach, (b) was lawfully known to the recipient before disclosure, (c) is lawfully received from a third party without restriction, or (d) is independently developed without use of the Confidential Information.

9.2 Obligations. The recipient will use the other party's Confidential Information only to perform or exercise its rights under the agreement, protect it with at least reasonable care, and disclose it only to its personnel and service providers who need to know it and are bound by obligations of confidentiality no less protective than this Section.

9.3 Required disclosure. The recipient may disclose Confidential Information where required by law or a competent authority, provided that (where lawful) it gives the other party prompt notice and discloses only what is required.

9.4 Personal data. Where we process personal data on the Customer's behalf, the DPA applies and is incorporated into these Terms. Our handling of personal data for our own purposes (for example, account administration and billing) is described in the Privacy Policy.

9.5 Provider credentials. Provider admin keys are envelope-encrypted (AES-256-GCM), are never returned to browsers, Agents or logs, and are destroyed when the Connector is disconnected. Disconnecting a Connector stops future synchronization with it.

9.6 Security. We maintain the technical and organizational measures described in Annex II of the DPA and summarized in the Security Overview. We do not currently hold SOC 2 or ISO/IEC 27001 certification and have not yet completed an independent penetration test.

9.7 Security incidents. If we become aware of a breach of security leading to accidental or unlawful destruction, loss, alteration, unauthorized disclosure of or access to Customer Data, we will notify the Customer as set out in the DPA and provide reasonable information and cooperation.

10. Warranties, disclaimers and limitation of liability

10.1 Service warranty (paid plans). We warrant that, during a paid Subscription Term, the Services will perform materially in accordance with the plan description in the Services. If they do not, and you notify us with reasonable detail, we will use commercially reasonable efforts to correct the non-conformity. If we cannot do so within a reasonable time, either party may terminate the affected subscription and we will refund prepaid fees for the remaining, unused part of the Subscription Term. This is your exclusive remedy for breach of this warranty, to the extent permitted by law.

10.2 Support. We provide support by email at To be confirmed: support contact email on a reasonable-efforts basis. We do not currently offer a service-level agreement or uptime commitment unless one is stated in an Order Form.

10.3 Disclaimers. Except as expressly stated in these Terms, and to the maximum extent permitted by law, the Services (including the free Audit) are provided "as is" and "as available". We do not warrant that the Services will be uninterrupted or error-free, that Third-Party Provider data will be complete or accurate, or that any Finding will result in a saving. Section 3 describes further limits that you acknowledge.

10.4 Limitation of liability. Subject to Section 10.5:

(a) neither party will be liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, goodwill or anticipated savings, however arising; and

(b) each party's total aggregate liability arising out of or in connection with the agreement will not exceed the fees paid and payable by the Customer to Audon for the Services in the 12 months before the event giving rise to the claim (or, for the free Audit, a nominal amount) To be confirmed: liability cap amount and excluded heads of loss.

10.5 Exclusions from the limits. Nothing in these Terms limits or excludes liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) the Customer's obligation to pay fees; (d) a party's indemnification obligations under Section 11.1; or (e) any other liability that cannot be limited or excluded under applicable law.

10.6 Allocation of risk. The parties agree that the fees reflect the allocation of risk in this Section 10.

11. Indemnity, suspension, termination and exit

11.1 Indemnities. To be confirmed: indemnity scope and whether indemnities are capped As a proposed structure for counsel review:

(a) By us: we will defend the Customer against a third-party claim alleging that the Services, as provided by us, infringe that third party's intellectual property rights, and pay amounts finally awarded or agreed in settlement, except to the extent the claim arises from Customer Data, Customer or Agent instructions, combination with items not supplied by us, or use in breach of these Terms.

(b) By the Customer: the Customer will defend Audon against a third-party claim arising from Customer Data, from the Customer's lack of authority to connect a Third-Party Provider account, or from use of the Services in breach of the Acceptable Use Policy, and pay amounts finally awarded or agreed in settlement.

(c) Procedure: the indemnified party must promptly notify the indemnifying party, give it control of the defence and settlement (no settlement may impose obligations on the indemnified party without its consent), and provide reasonable cooperation.

11.2 Suspension. We may suspend access to all or part of the Services, to the extent reasonably necessary, if: (a) the Customer's use poses a security risk to the Services or other customers; (b) the Customer materially breaches the Acceptable Use Policy; (c) required by law or a competent authority; or (d) fees are overdue after the notice described in Section 7.8. We will give advance notice where reasonably possible, limit the suspension in scope and duration, and restore access when the cause is resolved.

11.3 Term. The agreement starts when you first accept these Terms and continues until all subscriptions have ended and your organization has been deleted, or until terminated under this Section.

11.4 Termination for convenience. You may stop using the free Services and delete your organization at any time. You may cancel a paid subscription as described in Section 7.10.

11.5 Termination for cause. Either party may terminate the agreement by written notice if the other party materially breaches it and fails to cure the breach within 30 days after notice, or immediately if the other party becomes insolvent or ceases business. If you terminate for our uncured material breach, we will refund prepaid fees for the unused part of the Subscription Term.

11.6 Export and deletion. You may export your organization data in JSON format from the Services at any time before deletion. When an owner requests deletion of the organization, the organization enters a 14-day grace period during which the request can be cancelled; after that period, organization data is permanently deleted from active systems. Activity log, legal acceptance and billing records may be retained where required by law or to establish, exercise or defend legal claims, as described in the Privacy Policy and the Data Retention Schedule. Deletion from backups occurs as backups expire, as described in the DPA.

11.7 Legal preservation. We may preserve data beyond the periods above where we are legally required to do so (for example, under a court order), and will continue to protect it under these Terms.

11.8 Effect of termination. On termination, access rights end, unpaid fees for the period before termination become due, and Section 11.6 applies. Sections 2, 7 (for amounts due), 8, 9, 10, 11 and 12, and any other provision that by its nature should survive, survive termination.

11.9 Notices. We send notices to the email address of the organization owner and, for billing matters, the billing contact. You may send notices to us at To be confirmed: legal contact email. Notices are effective when sent, unless a delivery failure is reported.

12. Governing law and dispute resolution

12.1 Governing law and forum. To be confirmed: governing law, dispute forum and venue This clause has deliberately not been completed. Counsel must decide the governing law and dispute resolution forum, taking into account Audon's formation as a Delaware limited liability company, cross-border contracting with Customers in the US, UK and UAE (and KSA pilots), enforceability of judgments or arbitral awards, and any mandatory law that applies regardless of choice.

12.2 Informal resolution. Before starting formal proceedings, each party will first attempt in good faith to resolve the dispute by written notice to the other party and a discussion between representatives over at least 30 days, except where urgent interim relief is needed.

12.3 Mandatory rights. Nothing in this Section deprives a party of the protection of mandatory provisions of law that apply to it.

13. Changes, recordkeeping and contact

13.1 Versioning. These Terms carry a document identifier (terms), a version number and an effective date. Each published version is stored with a cryptographic hash, and previous versions remain available from the legal documents index.

13.2 Changes. We may update these Terms. For changes that materially reduce your rights or increase your obligations, we will give at least 30 days' notice by email to the organization owner and in the Services before the change takes effect, except where a shorter period is required by law or for security reasons. Where required, we will ask an authorized user to accept the new version; continued use alone will not be treated as acceptance of a change that requires acceptance. If you do not agree, you may cancel before the change takes effect, and for a material adverse change during a paid Subscription Term you may terminate and receive a refund of prepaid fees for the unused period.

13.3 Acceptance records. When these Terms are accepted, we record the document identifier, version and hash; the organization; the accepting user or Agent and, for an Agent, the authorizing user; the date and time; the context (for example, signup, checkout or API); and the authority statement given. You can retrieve the version you accepted in the Services and through the API.

13.4 General. Neither party may assign the agreement without the other's consent, except to a successor of all or substantially all of the relevant business with notice. Neither party is liable for failure to perform caused by events beyond its reasonable control (other than payment obligations). If any provision is held unenforceable, the remainder continues. A failure to enforce is not a waiver. The parties are independent contractors. The agreement is the entire agreement on its subject matter and supersedes prior discussions. Electronic acceptance is intended to be binding.

13.5 Contact and complaints.

  • Support: To be confirmed: support contact email
  • Legal notices and complaints: To be confirmed: legal contact email
  • Privacy: To be confirmed: privacy contact email

We aim to acknowledge complaints within 5 business days and to respond substantively within 30 days.
