Auto-apply Add-on Terms
Terms for fixes Audon applies for you, through your agent or the gateway.
Version 1.0.0Effective date not set
These Auto-apply Add-on Terms ("Add-on Terms") apply when your organization adds the Auto-apply add-on to a paid Audon subscription. They supplement the Terms of Service (document id terms), the Billing and Cancellation Policy (document id billing) and, where it applies, the Data Processing Addendum (document id dpa). Capitalized terms not defined here have the meaning given in the Terms of Service. If these Add-on Terms conflict with the Terms of Service, these Add-on Terms prevail for the Auto-apply add-on only.
Auto-apply can only be added by a signed-in Authorized User with billing rights, who accepts these Add-on Terms on behalf of your organization. The acceptance is recorded with the document version and content hash.
1. What Auto-apply does
1.1 Fixes. For each Finding, the Services describe a concrete change ("Fix"), such as a prompt-caching configuration, a batch-processing change, a model-routing rule, an output limit or a retry limit. Fixes are available on every plan. Auto-apply lets you have a Fix carried out for you instead of making the change yourself.
1.2 Two ways to apply a Fix. For each Fix, you choose how it is applied:
(a) Agent mode. The Fix is queued for an Agent that you connect and control (for example, a coding agent using the Audon MCP server or API). Your Agent retrieves the Fix and its instructions, makes changes in your own systems (for example, by opening a pull request in your repository) and reports the result. Audon does not access your repository, code, infrastructure or deployment systems in Agent mode. Your Agent acts on your behalf under Section 5 of the Terms of Service.
(b) Gateway mode. You route requests to your AI provider through the Audon gateway (the "Gateway"), an endpoint operated by Audon that forwards your requests to the provider you call. When a Fix is active in Gateway mode, the Gateway changes matching requests in the way the Fix describes before forwarding them (for example, lowering an output limit, sending a stated share of requests to a different model, marking a prompt prefix as cacheable, or answering repeated identical requests with an error instead of forwarding them).
1.3 Your decision, every time. No Fix is applied without an explicit instruction from a signed-in Authorized User with the approval role required by the Services. That instruction is the approval of the Fix: unlike other optimization proposals, a Fix applied with one click does not need a second approver, but a saving from it is only shown as verified after the checks described in Section 4.2. Each instruction applies to one Fix. You can roll back any Fix at any time; rolling back a Gateway Fix stops it on new requests within a short time (normally under one minute). You can switch the Gateway to pass-through mode, in which it forwards all requests unchanged, or switch it off.
1.4 No automatic decisions. Audon does not decide which Fixes to apply, when to apply them or to which traffic. The Services suggest default settings (for example, a canary share for model routing); you choose the settings that apply.
2. Your responsibilities
2.1 Review and testing. You are responsible for reviewing every Fix before you apply it, for reviewing and testing any change your Agent proposes before you merge or deploy it, and for deciding whether a Fix is suitable for your systems, users, data and obligations. A Fix is a technical suggestion based on billing and usage data. It does not take into account information Audon does not have, such as your product requirements, quality standards, contractual commitments or regulatory obligations.
2.2 Monitoring and rollback. You are responsible for monitoring your systems after a Fix is applied, including the quality, latency, availability and cost of your AI workloads, and for rolling back a Fix that does not perform as you expect.
2.3 Your Agents. You are responsible for the Agents you connect, the permissions you give them in your own systems (including repository and deployment permissions), their actions and their output. Audon does not control your Agents and is not responsible for what they do in your systems.
2.4 Fallback path. If you use the Gateway, you are responsible for configuring your clients so that your workloads can reach your AI provider directly if the Gateway is unavailable, slow or returns errors.
2.5 Provider terms. You are responsible for ensuring that routing requests through the Gateway, and any Fix you apply, is permitted under your agreements with your AI providers and your own policies. Your provider remains your provider: you keep your account, your credentials and your relationship with it, and you remain responsible for all charges your provider bills you, including charges for requests sent through the Gateway.
2.6 Content you send. You decide what content you send through the Gateway. You must not send content through the Gateway that you are not permitted to process with your AI provider, and you must comply with the Acceptable Use Policy.
3. How the Gateway handles your data
3.1 Provider credentials. Your AI provider credentials travel in the request headers you send and are forwarded to your provider. Audon does not store them and does not use them for any other purpose.
3.2 Request and response content. Prompts, inputs, outputs and other request and response content pass through the Gateway in memory only, to forward them and to apply active Fixes. Audon does not store this content, does not use it to train any model and does not read it for any purpose other than applying the Fixes you activated.
3.3 Metadata. For each request through the Gateway, Audon records operational metadata: provider, endpoint, requested and forwarded model, the Fixes applied, the routing group (for model-routing experiments), the task label you send, response status, latency and token counts reported by the provider. To enforce a retry limit, Audon keeps a one-way hash of the request body as a counter key for a few minutes. Metadata is kept for up to 90 days, or less where your retention setting is shorter, and is used to show you the effect of Fixes and to operate and secure the Gateway.
3.4 Personal data. Where request content or metadata contains personal data, Audon processes it as your processor under the DPA, for the purpose of providing the Gateway. Gateway traffic is processed on the hosting infrastructure listed in the Subprocessors list.
4. Measurement and savings
4.1 No guaranteed outcome. Audon does not guarantee that a Fix will reduce your costs, that any amount shown as a potential saving will be realized, or that a Fix will not affect the quality, latency or availability of your workloads.
4.2 Verified savings. Applying a Fix does not create a Verified Saving. A saving is shown as verified only after the measurement and approval steps described in the Services.
5. Availability
5.1 No service level. Unless an Order Form states otherwise, the Gateway and Auto-apply are provided without an uptime or response-time commitment. Requests through the Gateway add network latency.
5.2 Fail-open behaviour. If an active Fix cannot be applied to a request, the Gateway forwards the request unchanged. If your Auto-apply add-on ends (for example, after cancellation or a failed payment), the Gateway forwards requests unchanged and applies no Fixes until the add-on is active again or you switch the Gateway off. We may stop forwarding for an organization whose add-on has ended after giving at least 14 days' notice. Rollbacks of Fixes your Agent applied remain available after the add-on ends.
5.3 Suspension. We may suspend the Gateway for your organization, in whole or in part, where reasonably necessary to protect the security, integrity or availability of the Services or of other customers, to comply with law, or where your use breaches the Terms of Service or these Add-on Terms. Where reasonably possible we will notify you in advance and suspend only what is necessary.
5.4 Limits. The Gateway forwards only the provider endpoints listed in the Services and accepts requests up to the size stated there. We may change the supported providers, endpoints and limits, and will describe current limits in the Services.
6. Fees, cancellation and changes
6.1 Fees. The Auto-apply add-on costs USD 49 per month on monthly billing, or USD 39 per month on annual billing (USD 468 per year), unless the checkout page, the billing page in the Services or an Order Form states a different price. It is billed with, and on the same billing interval as, your paid plan, as described in the Billing and Cancellation Policy.
6.2 Adding and removing. When you add or remove the add-on during a billing period, the payment provider prorates the charge or credit for the rest of that period. You can remove the add-on at any time in the Services. Removing it, or the end of your paid plan, ends the add-on: Gateway Fixes stop being applied and new Fixes can no longer be applied for you.
6.3 Changes to these Add-on Terms. We may update these Add-on Terms. Material changes take effect for your organization when an Authorized User accepts the updated version; until then, you may continue to use Fixes that are already active, but applying new Fixes requires acceptance of the current version.
7. Disclaimer and limitation of liability
7.1 Disclaimer. To the maximum extent permitted by law, Auto-apply, the Gateway and all Fixes are provided "as is" and "as available". Audon disclaims all warranties not expressly stated in the Terms of Service, including warranties that a Fix is suitable for your systems, that a Fix will achieve any result, or that the Gateway will be uninterrupted or error-free.
7.2 Matters Audon is not responsible for. To the maximum extent permitted by law, Audon is not liable for loss or damage arising from: (a) a Fix you chose to apply, including its effect on the quality, latency, availability, behaviour or cost of your workloads; (b) any change made by your Agent, or any change you merged or deployed; (c) charges billed by your AI provider, including charges for requests sent through the Gateway, retried by your clients, or sent once more to the original model by the Gateway when a routed request fails; (d) the unavailability, latency or errors of the Gateway, where you did not configure a fallback path as described in Section 2.4; (e) the acts or omissions of your AI provider; or (f) your failure to roll back a Fix after you became aware, or should reasonably have become aware, that it did not perform as you expected.
7.3 Cap. Without limiting Section 10.4 of the Terms of Service, Audon's total aggregate liability arising out of or in connection with Auto-apply and the Gateway will not exceed the fees paid by your organization for the Auto-apply add-on in the 12 months before the event giving rise to the claim.
7.4 What is not limited. Nothing in these Add-on Terms limits or excludes liability that cannot be limited or excluded by law, Audon's obligations under the DPA to the extent they cannot be limited, or Audon's liability for its own fraud, gross negligence or wilful misconduct.
8. Indemnity
You will defend and indemnify Audon against third-party claims arising from content you send through the Gateway in breach of these Add-on Terms or the Acceptable Use Policy, or from changes your Agent makes in your systems, except to the extent the claim results from Audon's breach of these Add-on Terms.
9. Contact
Questions about these Add-on Terms can be sent through the contact options shown in the Services or on the Audon website.
